『bargain and sale』は、不動産の譲渡方法の一形態で、売り手（bargainor）が購入者（bargainee）のために土地の使用権を譲渡することを約束し、売り手が一時的に信託者としてその土地を保持する形態を指します。契約により使用権が購入者に移り、その後、法律の手続きにより所有権（占有権）が購入者に移転する仕組みです。
